Terms of Service
These terms govern your relationship with PT. Finlup Solusi Digital. Please read them carefully to understand your rights and obligations.
Service Agreement
By engaging with our software development services, you agree to the following operational terms:
- Project scope and specific deliverables are defined in separate Statement of Work (SOW) or Service Agreements.
- Development timelines and milestones are estimated and subject to mutual adjustments.
- Official communication must be conducted through approved channels (Email, Slack, or Project Management Tools).
- We reserve the right to suspend services if payment schedules are not met.
Payment & Financial Transactions
We process payments through secure Indonesian licensed gateways (Ipaymu, Midtrans, or Xendit):
- All invoices are issued in Indonesian Rupiah (IDR) or USD equivalent as agreed upon.
- Prices are exclusive of applicable taxes (e.g., 11% PPN) unless stated otherwise.
- Clients are responsible for any intermediary bank fees or payment gateway transaction surcharges.
- Work milestones will only commence after the initial down payment is confirmed by our finance team.
Refund & Cancellation Policy
We maintain a transparent refund structure to cover resource allocation and administrative costs:
- Cancellation before project commencement: 75% refund of the total project value.
- Administrative Fee: A non-refundable 25% fee is retained to cover consultation, onboarding, and administrative overhead.
- Partial Progress: Once development reaches the 50% milestone, payments become non-refundable.
- Refunds are processed within 14-30 business days through the original payment method.
Intellectual Property
Ownership of the software and source code is governed as follows:
- Source code ownership is transferred to the Client only upon 100% full payment completion.
- The Company retains the right to use generic code libraries and frameworks developed prior to the project.
- The Company may showcase the project in its professional portfolio unless a Non-Disclosure Agreement (NDA) states otherwise.
Governing Law & Dispute Resolution
Legal compliance and conflict resolution:
- These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia.
- Any disputes shall first be attempted to be settled through amicable deliberation (Musyawarah).
- In the event that no settlement is reached, the dispute shall be resolved through the jurisdiction of the South Jakarta District Court.
